My Fair Lady has solid acting from its two leads, a couple of very catchy songs, nice set and costume designs and the ending is moving, but its running time is unjustifiably long owing to the overly simple plot and there are some unnecessarily extended detours (with Eliza's father, for instance).
In the end, it is a good film, but it's clearly not deserving of Best Picture, especially in the year of 'Mary Poppins'.
