It's so shit, but it's so entertaining.
Despite the fact that it's a sci-fi film that stars David Carradine and has "Death" in the title, it's not related to Death Race 2000 at all, even if the back of the dvd cover says it is.
But it's just as cheesy (some say, even cheesier) than that film and that makes this an entertaining movie. It wouldn't be hugely surprising if you find this film on Movies 4 Men or Syfy.
