It has a nice mix of serious action and comedy. Walter Matthau was a good choice to deliver most of the comedy because his kind of humor just puts a warm smile on your face instead of making you laugh out loud, and that's what this movie needed.
Robert Shaw is funny, too, but his humor isn't so obvious because it's so dark. He doesn't make you laugh, but instead you just think "Robert Shaw is awesome." There's cynical and sarcastic humor in just about every scene.
And surprisingly a lot of swearing which is pretty funny. Someone will say something very serious and the response is "shit!" Makes me laugh every time. The movie is a lot of fun and the time limit aspect keeps the story from ever running dry.
